Terms of Use

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and ElyonGames LTD ("Company", "we", "us", or "our"), a company incorporated in England and Wales with its registered office in London, United Kingdom.

By downloading, installing, accessing, or using the UNP Wallet application ("Application" or "Service"), you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Application.

UNP Wallet is a non-custodial digital wallet application that allows users to:

• Store & Manage: Securely store and manage UNP tokens and other supported digital assets
• Send & Receive: Transfer digital assets to and from other blockchain addresses
• Staking: Participate in staking programmes to earn rewards on supported tokens
• Exchange: Access decentralised exchange functionality for token swaps
• Bridge: Transfer assets across supported blockchain networks
• NFC Payments: Make contactless payments using linked NFC cards
• Vault Services: Access secure vault storage for digital assets

To use UNP Wallet, you must:

• Be at least 18 years of age or the age of majority in your jurisdiction
• Have the legal capacity to enter into binding agreements
• Not be a resident of, or accessing the service from, any jurisdiction where the use of cryptocurrency wallets is prohibited by law
• Not be listed on any government list of prohibited or restricted parties, including but not limited to sanctions lists maintained by the UK, EU, or US authorities
• Comply with all applicable laws and regulations in your jurisdiction regarding the use of digital assets

4.1 Account Creation

To access certain features of UNP Wallet, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

4.2 Seed Phrase & Private Keys

Upon wallet creation, you will be provided with a seed phrase (recovery phrase). You acknowledge and agree that:

• You are solely responsible for securely storing your seed phrase and private keys
• Anyone with access to your seed phrase can access and control your digital assets
• We cannot recover or reset your seed phrase if lost — there is no "forgot password" for blockchain wallets
• We strongly recommend writing your seed phrase on paper and storing it in a secure physical location

4.3 Account Security

You are responsible for maintaining the security of your account, including:

• Setting a strong password and keeping it confidential
• Enabling available security features such as biometric authentication (Face ID / Touch ID)
• Configuring auto-lock settings appropriate to your security needs
• Immediately notifying us if you suspect any unauthorised access to your account
• Not sharing your credentials, seed phrase, or private keys with any third party

5.1 Transaction Processing

When you initiate a blockchain transaction through UNP Wallet:

• Transactions are broadcast to the relevant blockchain network and are subject to network confirmation times
• Once submitted to the blockchain, transactions are irreversible and cannot be cancelled or reversed by us
• You are solely responsible for verifying the recipient address and transaction amount before confirming
• Network fees (gas fees) are determined by the blockchain network and are your responsibility

5.2 Staking Services

Our staking services allow you to stake supported tokens to earn rewards. You acknowledge that:

• Staking rewards are not guaranteed and may vary based on network conditions
• Staked tokens may be subject to lock-up periods during which they cannot be withdrawn
• Staking involves risk, including potential loss of staked assets in certain circumstances

5.3 Bridge Services

Cross-chain bridge services allow you to transfer assets between supported blockchains. Bridge transactions involve additional risks including smart contract risk and may take longer to process than standard transactions.

5.4 NFC Payment Services

NFC payment functionality is subject to separate activation and card-linking procedures. You agree to use NFC payment features only for lawful transactions and in accordance with applicable payment regulations.

As a user of UNP Wallet, you agree to:

• Use the Application only for lawful purposes and in compliance with all applicable laws and regulations
• Maintain the security and confidentiality of your account credentials and seed phrase
• Verify all transaction details (recipient addresses, amounts, network) before confirming
• Keep the Application updated to the latest version for optimal security and functionality
• Report any bugs, vulnerabilities, or security issues you discover to our support team
• Bear full responsibility for all activities that occur under your account
• Comply with all applicable tax obligations related to your digital asset transactions

You agree not to engage in, or attempt to engage in, any of the following prohibited activities:

• Illegal Activities: Using the Application for money laundering, terrorist financing, fraud, or any other unlawful purpose
• Circumvention: Attempting to bypass, disable, or interfere with any security features of the Application
• Reverse Engineering: Decompiling, disassembling, or reverse engineering any aspect of the Application
• Interference: Introducing viruses, malware, or any code designed to disrupt the Application's functionality
• Unauthorised Access: Attempting to gain unauthorised access to other users' wallets or our systems
• Market Manipulation: Using the Application to engage in market manipulation, wash trading, or fraudulent schemes
• Identity Fraud: Creating accounts using false information or impersonating another person
• Sanctions Evasion: Using the Application to evade economic or trade sanctions
• Automated Abuse: Using bots, scripts, or automated tools to interact with the Application in unintended ways

Violation of these prohibitions may result in immediate termination of your account and may be reported to relevant authorities.

The following fees may apply when using UNP Wallet:

• Network Fees: Blockchain network fees (gas fees) for on-chain transactions — determined by network congestion and not controlled by us
• Service Fees: We may charge service fees for certain features such as exchange, bridge, or premium services. These will be clearly disclosed before you confirm a transaction
• Third-Party Fees: Fees charged by third-party services integrated within the Application

We reserve the right to modify our fee structure at any time. Any changes will be prominently communicated within the Application before taking effect.

All intellectual property rights in the UNP Wallet application, including but not limited to its source code, design, graphics, logos, trademarks, trade names, and content, are owned by or licensed to ElyonGames LTD.

You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Application for personal, non-commercial purposes in accordance with these Terms. You may not:

• Copy, modify, or distribute the Application or its content without our prior written consent
• Use our trademarks, logos, or branding in any manner without express authorisation
• Create derivative works based on the Application
• Sublicense, sell, or transfer your rights under this licence to any third party

UNP Wallet may integrate with or contain links to third-party services, including but not limited to:

• Blockchain networks (BSC/BEP-20)
• Decentralised exchanges and liquidity protocols
• Cross-chain bridge protocols
• Price data and market information providers (MEXC, CoinMarketCap)
• Push notification services (OneSignal)

We do not control, endorse, or assume responsibility for any third-party services. Your use of third-party services is subject to their respective terms and conditions, and you should review them independently.

By using UNP Wallet, you acknowledge and accept the following risks inherent to digital assets and blockchain technology:

• Volatility: The value of digital assets can be extremely volatile and may result in significant financial loss
• Regulatory Risk: The regulatory landscape for digital assets is evolving and may change in ways that adversely affect the use or value of your assets
• Technology Risk: Blockchain networks, smart contracts, and related technologies may contain bugs, vulnerabilities, or be subject to attacks
• Irreversibility: Blockchain transactions are irreversible — sending assets to an incorrect address or incorrect network will result in permanent loss
• Key Management: Loss of your seed phrase or private keys will result in permanent, irrecoverable loss of access to your digital assets
• Network Disruption: Blockchain networks may experience congestion, forks, or other disruptions that could delay or affect your transactions
• No Insurance: Digital assets held in UNP Wallet are not insured by any governmental insurance scheme

12.1 Disclaimer of Warranties

THE APPLICATION IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, ELYONGAMES LTD DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties that the Application will be uninterrupted, error-free, or free from viruses or harmful components
• Warranties regarding the accuracy, reliability, or completeness of any information provided through the Application

12.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ELYONGAMES LTD AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or digital assets
• Any damages resulting from your inability to access or use the Application
• Any damages resulting from unauthorised access to your account
• Any damages arising from the conduct of third parties

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.

You agree to indemnify, defend, and hold harmless ElyonGames LTD, its directors, officers, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to:

• Your use of or inability to use the Application
• Your violation of these Terms or any applicable law or regulation
• Your violation of any rights of any third party
• Any content you submit or transmit through the Application

We may suspend or terminate your access to UNP Wallet at any time, without prior notice, for any reason, including but not limited to:

• Violation of these Terms or any applicable laws
• Engagement in prohibited activities
• Upon request by a law enforcement or governmental authority
• Unexpected technical or security issues
• Extended periods of inactivity

Upon termination, your right to use the Application will cease immediately. However, as UNP Wallet is non-custodial, you will retain access to your digital assets through your seed phrase, regardless of any account termination.

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of laws principles.

Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales. Before pursuing formal legal proceedings, you agree to first attempt to resolve any dispute informally by contacting us at legal@unipolychain.com.

If you are a consumer resident in the European Union or United Kingdom, you may also be entitled to use the European Commission's Online Dispute Resolution (ODR) platform.

We reserve the right to modify these Terms at any time. When we make changes:

• The updated Terms will be posted within the Application and on our website
• The "Effective Date" at the top of these Terms will be updated
• For material changes, we will provide prominent notice through the Application or via email/push notification
• Your continued use of UNP Wallet after the effective date of any changes constitutes your acceptance of the revised Terms

If you do not agree to the revised Terms, you must stop using the Application.

If any provision of these Terms is held to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms shall remain in full force and effect.

The failure of ElyonGames LTD to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
